A private fund is a direct offering of securities to a limited number of qualified investors. Investors in private funds may include insurance companies, banks, mutual funds, foundations and pension funds, as well as high net-worth individuals or sophisticated investors who meet specific criteria outlined by the U.S. Securities and Exchange Commission (“SEC”).
